Terms of Service — Fluxify

These Terms of Service ("Terms") are a legal agreement between you and Gonz Ventures LLC ("Fluxify," "we," "us") governing your use of the Fluxify website and application at fluxify.app and app.fluxify.app (the "Service"). By creating an account, joining the waitlist, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Fluxify is an AI-assisted photo-editing tool for real-estate imagery. You upload images, we process them (including via third-party AI providers), and we return edited results. We may add, change, or remove features at any time.

2. Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for all activity under your account.
• You may sign in with an email/password, a one-time email code, or Google. You must not share, sell, or transfer your account or access tokens.

3. Your content and license

• You keep ownership. As between you and us, you own the images you upload and the edited results we generate for you. We do not claim copyright ownership of your images or edits.
• License to operate the Service: you grant us a limited, worldwide, royalty-free license to host, copy, transmit, process, and modify your images and content to operate and provide the Service to you (including sending them to our AI subprocessor to perform the edit).
• License to market: you also grant us a non-exclusive, worldwide, royalty-free license to use the images you upload and the edited results for our own marketing, promotion, and demonstration of the Service, indefinitely. This marketing license does not include using your images to train or improve any AI model. Your images are sent to our third-party AI provider only to perform the edits you request.
• Your responsibility for content: you represent and warrant that you own or have all rights and permissions necessary to upload each image and to have it edited, including any rights of people or property shown in the image, and to grant the licenses above.

4. Acceptable use

You agree not to use the Service to:

• upload or process any content that is illegal, infringing, or that you lack the rights to;
• upload images of identifiable people or property without the rights or permissions necessary to do so;
• attempt to reverse engineer, scrape, overload, or circumvent security or rate limits of the Service;
• resell or provide the Service to third parties except as expressly permitted;
• use the Service to create misleading imagery in violation of applicable real-estate advertising or disclosure laws. You are responsible for how you use edited images, including any disclosures required when marketing a property.

We may suspend or terminate accounts that violate these Terms.

5. Payments, credits, and refunds

• We sell per-photo edit links, credit top-ups, and subscriptions. Prices are shown at purchase. Payments are processed by Stripe; by purchasing you also agree to Stripe's terms.
• Credits: edits consume credits. Free-trial credits expire 30 days after they are granted.
• Refunds: credits and per-photo purchases are non-refundable once the edit is generated, except where required by law.
• We may change prices and plans prospectively; changes do not affect purchases already made.
• You are responsible for any applicable taxes.

6. Third-party services

The Service relies on third parties including Google (Gemini AI and sign-in), Stripe, Aryeo, Dropbox, our email provider, and advertising/analytics providers (Google Analytics, Meta, and Google Ads). Your use of features involving these providers may be subject to their terms, and we are not responsible for their acts or omissions.

7. Intellectual property

The Service, including its software, design, and branding (including the "Fluxify" product name), is owned by Gonz Ventures LLC and protected by law. "Fluxify" is used as a product name of Gonz Ventures LLC. These Terms grant you no rights in our intellectual property except the limited right to use the Service.

8. Service availability

The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation, and we may suspend or discontinue the Service or any feature. We are not liable for loss of images or data; you are responsible for keeping your own copies of your original images.

9. Disclaimers

THE SERVICE AND ALL RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED EDITS WILL BE ACCURATE, SUITABLE, OR FIT FOR ANY PARTICULAR USE. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUXIFY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.

11. Indemnification

You agree to indemnify and hold harmless Gonz Ventures LLC from any claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, or your violation of these Terms or any law or third-party right.

12. Copyright / DMCA

We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice with the information required by the DMCA (identification of the work, the material, your contact information, a good-faith statement, and a statement under penalty of perjury) to our designated agent at hello@fluxify.app. We may remove infringing content and terminate repeat infringers.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (content licenses already granted, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

Binding arbitration & class-action waiver. Any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, and not in a class, collective, or representative action. You and Fluxify waive any right to a jury trial and to participate in a class action. Either party may bring an individual claim in small-claims court where eligible. Some jurisdictions may not permit these provisions, in which case they apply only to the extent allowed by law.

15. Changes to these Terms

We may update these Terms. We will post the updated version with a new "Last updated" date and, where required, notify you. Continued use after changes take effect means you accept the updated Terms.
